Terms of Service

Last updated: October 14, 2026

These Terms describe the agreement between StackDrive Inc., registered in Quebec, Canada, and the business using StackDrive.

Questions or privacy requests: support@stackdrive.io

This overview helps you navigate the document. The full terms below govern.

  • StackDrive is for businesses. Your order defines your modules, pricing and usage limits; you manage your users and lawful use of the platform.
  • Cancel anytime. Standard monthly subscriptions end at the close of the paid period. A first payment made without a free trial qualifies for a refund requested within 14 days, including covered usage charges; payments after a trial and renewals do not.
  • You retain your rights in Customer Data. AI outputs, valuations, communications and operational records require appropriate human review; you are responsible for required notices and consents.
  • After service ends, you have 30 days for data export or reactivation. Production deletion follows; backups may remain for up to 90 additional days, subject to lawful retention exceptions.
  • The full terms set out warranties, liability limits, indemnities and dispute resolution under Quebec law. Mandatory legal rights still apply, and a signed negotiated agreement may take precedence.

1. Agreement and business use

1.1 Acceptance and authority

StackDrive is offered exclusively to businesses, primarily in Canada and the United States. By accepting these Terms during registration or ordering, you confirm that you have authority to bind your business. Your authorized employees and contractors must comply with these Terms. Business use does not remove rights or responsibilities that applicable law makes mandatory.

1.2 Negotiated agreements and language

A negotiated written agreement signed by both parties prevails over conflicting provisions to the extent stated in that agreement. An applicable data processing addendum governs its processing subject matter. Where Quebec law requires a French version to be provided before choosing another contractual language, that requirement applies. Nothing here overrides mandatory language rights.

2. Service and access

2.1 Included services

The Service includes the StackDrive web application, installable web app, enabled customer-facing widgets and private links, APIs, integrations and subscribed modules. Optional Service, Parts and Accounting functionality depends on your order. Announced features, including a native mobile application, are included only when released and made available to you; a roadmap is not a delivery commitment.

2.2 Access rights and Customer Data

During your subscription, you receive a limited, non-exclusive, non-transferable right to use the Service for your business and authorized customer interactions. Customer Data means information and materials submitted, imported, generated or stored for you through the Service. You must verify that enabled features are appropriate for your intended business and regulatory requirements.

3. Accounts, users and security

3.1 Account security

Provide accurate account and billing information. Protect credentials, private links and API keys; configure permissions and available security controls appropriately; and promptly revoke access when personnel leave or change roles. Report suspected unauthorized access to support@stackdrive.io.

3.2 Users and lawful instructions

You are responsible for your authorized users, configurations and instructions, except to the extent responsibility arises from our breach or cannot lawfully be allocated to you. Obtain the rights, notices, consents or other authority needed to process Customer Data. Do not upload unnecessary sensitive information, payment-card security codes or authentication secrets into ordinary notes, files or AI prompts.

4. Orders, fees and usage

4.1 Charges and payment

Your accepted checkout or written order specifies currency, rooftop, users, modules, included allowances and usage rates. Recurring fees are charged in advance; metered usage is charged as disclosed. Applicable taxes are additional. You authorize charges for agreed amounts and must maintain a valid payment method. Failed payments may result in suspension following applicable notice requirements.

4.2 Allowances and overages

Premium AI actions and market-data lookups stop at the applicable allowance unless available overage billing is enabled; premium overage is unavailable during a trial. Text messages and call minutes can continue and incur disclosed overages. Website chat replies do not draw from the premium pool under the current offer. Review usage and configuration regularly.

4.3 Changes to subscriptions and prices

Upgrades take effect immediately with applicable proration; seat reductions take effect at renewal. We give at least thirty days' written notice of price changes. Signed orders may specify different expressly agreed arrangements. Historical pricing examples do not override your accepted order.

5. Trial, renewal and cancellation

5.1 Fourteen-day free trial

Where offered, the free trial lasts fourteen days. Checkout identifies the payment method requirement, included usage, trial expiry and subsequent charges. Unless you cancel before expiry, billing begins as disclosed, generally on day fifteen. Usage remains subject to the offer's disclosed limits and charges.

5.2 Renewal and cancellation

Self-serve subscriptions renew monthly until cancelled. We send a renewal reminder at least seven days before renewal. Cancel at any time in billing settings or by emailing support@stackdrive.io. Cancellation takes effect at the end of the paid period and stops future renewals; valid accrued usage remains payable subject to applicable refund rights. Standard monthly subscriptions have no early-termination fee. A negotiated agreement may provide a different term.

6. Initial-payment refund guarantee

6.1 Eligibility and covered charges

For a new subscription purchased without a free trial, you may request a full refund of your first payment within fourteen days of that payment. The guarantee also covers usage charges incurred before your refund request within that fourteen-day period, whether already paid or awaiting billing. Covered unpaid usage charges will be waived. Email support@stackdrive.io with the subject Refund Request. Refunds are processed within five to ten business days.

6.2 Exceptions and existing rights

This guarantee applies only to the first payment, does not apply after a free trial, and is not available for renewals or a subscription following a prior cancellation. Outside this guarantee, an agreed refund or mandatory legal right, unused portions of a paid period are not refunded. Existing customers retain any more favorable previously agreed refund rights until a valid change applies to their agreement.

7. Records, imports, exports and workflows

7.1 Data quality and automation

CRM, routing, reporting and workflow tools depend on source data and your instructions. You are responsible for lawful imports, mapping, duplicate handling and verifying results. Test automations and monitor their execution. Reports and exports require reconciliation before consequential use. Available export functions do not guarantee that every field, attachment or audit event transfers into another system.

7.2 Import, export and migration

Customer and vehicle data can be imported and exported through available functions. Data migration assistance remains included as offered. Verify the export scope for your needs and request exports before the exit period ends. You control the business decisions and communications carried out through your account.

8. AI assistance and automated conversations

8.1 Capabilities and limitations

AI can summarize information, score leads, suggest actions, draft messages, provide call-coaching feedback and respond through enabled website chat. Outputs may be inaccurate, incomplete or inappropriate. They do not guarantee results or constitute legal, financial, credit, tax, accounting or safety advice. We do not use Customer Data to train AI models; relevant information may be processed by AI providers to generate requested outputs.

8.2 Human review and automated replies

Review drafts and consequential outputs before relying on them. For automated chat or workflows you enable, approve the scope and configuration, provide required notices, monitor results and maintain a human escalation process. Do not imply a human reviewed an automated reply when none did. Verify and correct consumer-facing representations; automated outputs alone are not a certified appraisal, loan approval or safety determination.

8.3 Decisions and non-discrimination

Do not use AI unlawfully to discriminate or as the sole basis for decisions requiring additional assessment. You are responsible for lawful decision-making and any required explanation, notice or human review, including for employment or credit-related uses. Lead and coaching scores are indicators, not authoritative judgments about a person.

9. Inventory, appraisals and sales

9.1 Inventory accuracy and responsibilities

Verify vehicle or unit condition, ownership, liens, mileage, specifications, recalls, availability, prices, taxes and required advertising disclosures. Inventory, VIN, listing and public API information depends on your inputs and third-party sources. StackDrive is not the seller, buyer, inspecting mechanic or warrantor of your inventory.

9.2 Appraisals and financing information

Trade-in valuations and market comparisons are estimates, not binding purchase offers, certified appraisals or guarantees of value. Verify financing rates, incentives, eligibility and calculations with the applicable provider. StackDrive does not become a lender, broker or insurer by supplying software, and does not guarantee third-party market data.

10. Messaging, calls and recording

10.1 Messaging and consent

You determine recipients, purposes, content and enabled workflows for dealership communications. Obtain and document required consent, identify the sender, follow contact-time and do-not-contact rules, and honor opt-outs. Applicable rules may include CASL, TCPA, CAN-SPAM and provincial or state law. Each party retains its own legal obligations; describing StackDrive as software does not categorically eliminate its statutory responsibilities.

10.2 Recording and quality assurance

An employee may enable recording for coaching and quality assurance. Before recording, provide required participant and employee notices and obtain legally required consent. Recording, transcription, access and retention must remain within lawful disclosed purposes. Location-based reminders and software controls do not establish all participants' locations or valid consent. Do not record covertly or use recordings for an undisclosed incompatible purpose.

10.3 Delivery and provider limitations

Carriers and other providers affect delivery, numbers and call functionality. A delivery or workflow status does not guarantee receipt or compliance. You must monitor your enabled communications and promptly correct unlawful or erroneous instructions.

11. Documents and electronic signatures

11.1 Signatures and authorization

You are responsible for document content, signer authority, identity checks, required disclosures, delivery and suitability of electronic signatures for the transaction. A private signing link or audit record does not guarantee enforceability in every jurisdiction. Use alternative procedures where legally required.

11.2 Templates and legal suitability

StackDrive does not provide legal advice or certify a template, transaction or consent merely by hosting a document or signature workflow. Verify that recorded decisions accurately reflect the relevant person's authorization.

12. Service, Parts and Accounting modules

12.1 Service operations

Service tools support repair orders, inspections, technician time, customer approvals and reminders. You remain responsible for diagnoses, safe work, estimates, scope changes, customer authorization, licensing, charges, warranties, recalls and release of the unit. A software status is not an inspection, safety certification or substitute for legally required authorization.

12.2 Parts operations

For Parts, verify supplier selection, fitment, quality, authenticity, stock, purchasing, substitutions, returns, warranties and taxes. Scans, supersessions and reorder drafts require your review; software does not certify part suitability.

12.3 Accounting and payroll exports

Accounting supports compensation plans, commissions, banks, pay periods and payroll CSV exports. It is not a general ledger, financial-statement, tax-filing or direct payroll-submission service. Verify hours, overtime, classifications, deductions, statutory entitlements and export mappings, including amounts grouped in commission fields, before payment or submission.

13. Acceptable use and integrations

13.1 Prohibited activities

Do not use the Service for unlawful messaging, surveillance, discrimination, fraud, deceptive advertising, infringement, malware or unauthorized access. Do not circumvent security or quotas, resell access without permission or reverse engineer except where applicable law permits. Do not access another customer's information without authority.

13.2 Connected services

Enabling an integration authorizes necessary lawful disclosures for that functionality. Independent services may have their own terms and notices; third-party functionality or data may change. This does not remove our own commitments or responsibilities for providers we engage.

14. Data, confidentiality and intellectual property

14.1 Rights in Customer Data

As between the parties, you retain rights in Customer Data, subject to individuals' and other rights holders' rights. You grant us the limited rights needed to provide the Service, follow lawful instructions, protect it and meet legal obligations as described in the Privacy Policy and applicable processing agreement. We do not sell Customer Data or use it to train AI models. Necessary processing by service providers is described in the Privacy Policy.

14.2 Confidential information

Each party protects the other's confidential information using reasonable care and at least the care used for comparable information of its own. Use and disclosure must be limited to authorized purposes and people or providers with a need to know and appropriate duties. Exceptions cover information lawfully public, already known, independently developed or lawfully obtained without restriction. Legally required disclosure is permitted, with notice where lawful.

14.3 Platform and intellectual property

StackDrive and its licensors retain rights in the Service, software and branding, including third-party technology. Access does not transfer those rights. AI output may not be unique or protectable. Do not remove proprietary notices or use our trademarks without permission.

14.4 Processing on your behalf

For personal information processed on your behalf, we follow documented lawful instructions expressed through the agreed Service and your authorized configuration. We restrict access to personnel and providers who need it and are bound by appropriate confidentiality obligations, and apply safeguards appropriate to the information and risks. We require providers we engage for this processing to observe applicable use, protection and deletion obligations, and remain responsible for our own obligations when using them. We assist with applicable individual-rights requests, incident response and reasonable verification of compliance, protecting other customers and confidential information. We notify you without delay of a confidentiality violation or attempted violation concerning this processing where required by applicable law, and provide information reasonably available to support your response. Retention, return and deletion follow the exit provisions and mandatory law. A separately agreed processing addendum may specify additional requirements.

15. Service warranty and availability

15.1 Conformity and remedies

We warrant that the Service materially conforms to applicable documentation under normal authorized use. Notify us of a material non-conformance with information allowing investigation. Our remedy is commercially reasonable efforts to correct it or a prorated refund for the affected period, without excluding mandatory remedies.

15.2 Availability and other warranties

Support and uptime commitments in your applicable agreement remain in effect. Enterprise commitments to 99.5% monthly uptime and credits are governed by the applicable Enterprise order. Other subscriptions have no separate numerical uptime guarantee. Except for express commitments and mandatory rights, the Service is provided as available without additional warranties of uninterrupted performance, merchantability, fitness or non-infringement, to the extent lawful.

16. Limitation of liability

16.1 Exclusions and liability cap

To the extent permitted by law, StackDrive is not liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, data or business. Subject to mandatory law, our total cumulative liability will not exceed the fees you paid in the twelve months immediately preceding the claim.

16.2 Mandatory rights and exceptions

Nothing excludes or limits liability that cannot legally be excluded or limited, including under Quebec law material injury caused by intentional or gross fault, or bodily or moral injury. Nothing restricts nonwaivable rights or reporting to a regulator. These terms allocate contractual risk; they do not prevent claims or eliminate regulatory or criminal responsibility.

17. Third-party claims

17.1 Customer indemnification

To the extent lawful, you indemnify and defend StackDrive and its affiliates against third-party claims, resulting liabilities and reasonable defense costs attributable to your unlawful communications, recording instructions, Customer Data, discrimination, consumer misrepresentations or breach of these Terms. This does not shift our own breach, fault or responsibility that cannot lawfully be shifted. Penalties are included only where indemnification is lawful.

17.2 StackDrive indemnification

StackDrive indemnifies and defends you against third-party claims that the Service itself, excluding Customer Data and AI outputs, infringes a valid US patent, copyright or trademark. This excludes claims caused by unauthorized modifications, combinations not supplied or required by us where the claim would otherwise not arise, or continued infringing use after notice and a reasonably usable non-infringing alternative.

17.3 Defense and settlement procedure

The protected party must promptly notify the defending party, allow reasonable defense control by qualified counsel and cooperate at the defending party's expense. Delay reduces protection only to the extent prejudicial. Settlement cannot admit the protected party's fault, impose non-monetary obligations or omit a full release without its written consent, not unreasonably withheld.

18. Suspension, termination and data exit

18.1 Suspension and termination

We may proportionately suspend affected access for security threats, unlawful activity, material misuse or non-payment, with notice and an opportunity to remedy where appropriate. Urgent circumstances may require immediate action. We may terminate with thirty days' notice or immediately for a serious acceptable-use breach, subject to law and your agreement. Valid accrued charges remain due.

18.2 Export window and deletion

After the effective end of service, we retain Customer Data for thirty days for export or reactivation. Contact support@stackdrive.io if assistance is needed. After that period we delete it from production systems and arrange deletion by relevant providers. Backup copies may persist for up to ninety additional days. Limited records may remain where legally required or necessary for a lawful documented dispute or obligation, with restricted use until that purpose ends.

18.3 Continuing obligations

Export your needed data within the thirty-day period. Confidentiality, accrued payment, intellectual property, lawful retention, liability and dispute provisions survive as needed for their purposes. Deletion commitments remain subject to applicable legal retention obligations.

19. Governing law and dispute resolution

19.1 Applicable law and arbitration

Quebec law and applicable Canadian federal law govern, subject to mandatory law. Parties first attempt informal resolution for at least thirty days. Unresolved arbitrable disputes are resolved by binding arbitration under AAA Commercial Arbitration Rules in Montreal, Quebec, or by videoconference by agreement, consistent with any applicable negotiated agreement.

19.2 Collective proceedings and jurisdiction

To the extent lawful, each party waives participation in a class action or class-wide arbitration and brings disputes individually. Mandatory rights, regulatory proceedings and legally non-arbitrable matters are unaffected. For matters not subject to arbitration, the parties consent to courts in Montreal, subject to mandatory jurisdiction rules.

20. Changes and general provisions

20.1 Notice and effective changes

We give at least fourteen days' advance email notice of material changes; price changes follow the longer notice above. Changes apply prospectively when validly effective for your agreement, with additional acceptance where required. You may cancel before a change takes effect. The displayed update date does not itself replace existing customers' contractual rights or required notice.

20.2 General provisions and legal notices

These Terms and applicable orders and incorporated agreements form the agreement concerning the Service. Invalid provisions do not invalidate the remainder to the extent lawful. Neither party may assign without written consent, except StackDrive in connection with a merger or acquisition, subject to continuing obligations and law. The parties are independent contractors. Send legal notices to support@stackdrive.io. No policy change substitutes for separately required personal-information consent.
